These Terms of Service ("Terms") govern your access to and use of PostAuth, including our website, applications, APIs, integrations, demos, trials, and related services (collectively, the "Service"). The Service is operated by Arqia Inc. ("PostAuth", "we", "us", or "our").
By accessing or using the Service, creating an account, connecting a third-party service, or clicking to accept these Terms, you agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" means that organization.
If you do not agree to these Terms, do not use the Service.
PostAuth is user relationship management software for SaaS teams. The Service may help you sync users from authentication providers, organize users by lifecycle stage, store notes and interaction history, send or prepare lifecycle messages, track outreach, collect customer feedback, and manage related workflows.
We may add, remove, suspend, or modify features from time to time. Some features may be labeled beta, private preview, pilot, or experimental. Those features may be incomplete, may change materially, and may be discontinued without notice.
You must provide accurate and current information when you create an account or use the Service. You are responsible for maintaining the confidentiality of credentials, access tokens, and devices used to access the Service.
You are responsible for all activity under your account and for the acts and omissions of your employees, contractors, agents, and other users you authorize to access the Service ("Authorized Users"). You must promptly notify us at team@postauth.app if you believe your account, credentials, or connected integrations have been compromised.
"Customer Data" means data, content, records, messages, files, or other information that you submit to the Service or that the Service receives from systems you connect, including user profiles, identifiers, emails, authentication events, activity signals, lifecycle stages, notes, message content, message metadata, feedback records, and integration data.
You retain all rights in Customer Data. You grant PostAuth a limited right to host, copy, transmit, process, display, and use Customer Data only as needed to provide, secure, maintain, support, improve, and troubleshoot the Service, to comply with law, and as otherwise permitted by these Terms or a separate written agreement.
You are responsible for Customer Data, including its accuracy, legality, and the way it is collected and used. You represent and warrant that:
We may use aggregated, anonymized, or deidentified information derived from use of the Service for analytics, benchmarking, security, and product improvement, provided that it does not identify you, your organization, or any individual.
The Service may allow you to connect third-party accounts, authentication providers, databases, email accounts, analytics systems, CRMs, or other services ("Connected Services"). By connecting a Connected Service, you authorize PostAuth to access and process information from that Connected Service as needed to provide the Service.
You are responsible for maintaining valid permissions, scopes, credentials, and provider configuration for Connected Services. You may disconnect a Connected Service through the Service or the provider, but disconnection may limit functionality or leave prior records in PostAuth until deleted under your account settings or a verified deletion request.
We do not control and are not responsible for third-party products, networks, APIs, data availability, security practices, outages, policy changes, or pricing.
If you use the Service to send, prepare, schedule, trigger, track, or manage emails or other messages, you are responsible for those messages, the recipients, the sender identity, and your compliance with applicable laws and platform rules.
You agree that you will only send targeted, permission-based communications to recipients who have registered for your product, explicitly engaged with your software, opted into your marketing list, or otherwise have a lawful relationship with you that permits the communication. You must provide accurate sender information, honor unsubscribe and opt-out requests, and comply with laws that may apply to your messages, including CAN-SPAM, CASL, GDPR, ePrivacy rules, and similar laws.
You may not use the Service to send spam, phishing, malware, deceptive content, illegal content, harassment, hate content, or messages that violate a provider policy. We may block, throttle, suspend, or terminate message-related functionality if we believe your use creates legal, deliverability, security, abuse, or platform-risk issues.
You must not, and must not allow anyone else to:
The Service is not designed for regulated or highly sensitive data unless we expressly agree in writing. You must not submit or sync payment card numbers, bank account numbers, government identifiers, protected health information, biometric data, precise geolocation, children's data, or sensitive personal information such as racial or ethnic origin, political opinions, religious beliefs, union membership, genetic data, health data, or sexual orientation, unless a separate written agreement expressly permits it.
Some parts of the Service may be offered for free, as a trial, or as a paid subscription. If you purchase a paid plan, you agree to pay the applicable fees, taxes, and charges presented at checkout, in an order form, or in the Service.
Unless otherwise stated, subscriptions renew automatically until canceled. You authorize us or our payment processor or merchant of record to charge the payment method you provide. Fees are non-refundable except where required by law or expressly stated in a separate written agreement.
We may change plan features, usage limits, pricing, or free-tier availability. If a fee change applies to an active paid subscription, we will provide reasonable notice before it takes effect.
Trials, beta features, pilot features, previews, or experimental features may be limited, changed, suspended, or discontinued at our discretion. Access to a trial, pilot, preview, discount, or specific feature does not guarantee continued availability or future pricing.
If you provide feedback, comments, ideas, research responses, interview responses, or suggestions, you grant PostAuth a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation.
We use reasonable administrative, technical, and organizational safeguards designed to protect the Service and Customer Data. No system is perfectly secure, and we cannot guarantee that unauthorized access, loss, or misuse will never occur.
If a data processing addendum ("DPA") is required by applicable law or your procurement process, it must be executed separately or incorporated through an order form or other written agreement before it applies.
PostAuth and its licensors own all rights, title, and interest in the Service, including software, interfaces, workflows, designs, text, graphics, logos, trademarks, documentation, and other materials, except for Customer Data.
These Terms do not grant you any ownership in the Service. You may use the Service only as permitted by these Terms and any applicable documentation.
If either party receives non-public information from the other party that should reasonably be understood to be confidential, the receiving party will use it only to perform under these Terms and will protect it using reasonable care. This obligation does not apply to information that is publicly available, independently developed, already known without confidentiality obligations, or lawfully received from a third party.
You may stop using the Service at any time. We may suspend or terminate access to the Service if we believe you have violated these Terms, your use creates risk to PostAuth or others, your payment is overdue, a Connected Service requires it, or suspension is needed to protect security, availability, or legal compliance.
After termination, your right to use the Service ends. We may retain or delete Customer Data in accordance with our Privacy Policy, account settings, backup practices, legal obligations, and any separate written agreement.
The Service is provided "as is" and "as available". To the fullest extent permitted by law, PostAuth disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, deliverability, and error-free operation.
We do not guarantee that the Service will increase conversion, retention, revenue, deliverability, engagement, or any other business result.
To the fullest extent permitted by law, PostAuth will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities.
To the fullest extent permitted by law, PostAuth's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to PostAuth for the Service in the three months before the event giving rise to liability, or (b) USD $100.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
You will defend, indemnify, and hold harmless PostAuth and its officers, directors, employees, contractors, and agents from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to Customer Data, your messages, your Connected Services, your products or services, your violation of these Terms, or your violation of law or third-party rights.
We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms, changing the effective date, emailing you, or using another reasonable method. Your continued use of the Service after the updated Terms take effect means you accept the updated Terms.
